Itopmed ("Itopmed" or "we") offers this website, its component pages, and related websites (collectively, the "Website"), and sells products to customers, all conditioned on your agreement to these Terms and Conditions, which are final and binding. By using the Website, signing up for promotional mailings and emails, purchasing products from us, and/or registering with us, you agree to be bound by the following terms in their entirety, without modification, as of the time they are posted. You should visit this page periodically to review the most current terms. Using our Website after any such changes constitutes your acceptance of any such changes. If you do not agree to these Terms and Conditions, please do not use the Website.

These Terms and Conditions are an enforceable contract between us, affect our respective legal rights, and include the class action and jury trial waivers in Section 2, as described below.

We recommend that you print a copy of these Terms and Conditions for your records, which can be downloaded here. Upon request by either you or us, we each agree to sign and provide the other with a signed copy of these Terms and Conditions.

Privacy and Security

Please read our Privacy Policy, which is incorporated into these Terms and Conditions and governs your use of our website. By visiting our website or purchasing our products, you agree to and accept our Privacy Policy, including the information collection, analysis, and use practices described therein. If there is a conflict between the Privacy Policy and these Terms and Conditions, these Terms and Conditions will control to the fullest extent permitted by law.

Legal Disputes - Class Action Waiver; Jury Trial Waiver; Time Limits

We value our relationships with our customers. Occasionally, we may need the assistance of a third party to resolve a dispute, and Section 2 of these Terms and Conditions (the "Dispute Resolution Provision") may significantly affect your legal rights, including your right to sue in court (or in small claims court, if the claim qualifies) and, in all such cases, your right to have your claim heard by a jury. This provision contains a class action waiver, a jury trial waiver, and contractual statutes of limitations.

You and Itopmed agree that all disputes that cannot be resolved informally will be resolved individually in court or small claims court. You and Itopmed agree to waive all rights to a jury trial, any right to participate in a class action, and any right to have disputes resolved in a forum other than court or small claims court.

This Dispute Resolution Provision covers all complaints, demands, and claims of any kind, including but not limited to, those arising out of or relating to these Terms and Conditions, the use and operation of the Website, the collection, sharing, and use of information, communications and promotions by Itopmed or its representatives, and the purchase and use of all products and services offered by Itopmed (each a "Dispute" and collectively, "Disputes"). Disputes include, but are not limited to, statutory, regulatory, constitutional, contractual, common law, and tax claims, including claims alleging negligence, fraud, and misrepresentation.

This Dispute Resolution Provision applies to all agents, attorneys, contractors, subcontractors, service providers, employees, and all others acting on behalf of or under the direction of Itopmed, including all affiliates (including but not limited to parent, subsidiary, and sibling companies). This Agreement is binding upon you and Itopmed, and our respective heirs, successors, and assigns.

This entire Dispute Resolution section will survive any termination of this Agreement, these Terms and Conditions, your relationship with Itopmed, or your cessation of use of any of the Services.

Before you and Itopmed can seek to resolve a Dispute in court or small claims court, you must complete this mandatory sixty (60) day settlement process. To initiate this process, the claimant must send the other party a brief written statement ("Dispute Statement") explaining its Dispute in sufficient detail for the other party to understand and investigate, and an offer of resolution, including the amount of the claim and its calculation. You agree to email the Dispute Statement to notice@itopmed.com.

After receipt of the Dispute Statement, you and Itopmed will work in good faith to resolve the Dispute within sixty (60) days. At the end of the sixty (60) day period, if the Dispute remains unresolved, both you and Itopmed will have the right to pursue the Dispute in court or small claims court in accordance with the provisions of this Dispute Resolution Section. During the sixty (60) day informal settlement process, all applicable statutes of limitations will be suspended.

You and Itopmed agree that any dispute resolution proceedings shall be conducted in the form of an individual, consolidated, class, or representative action, including any type of joint litigation, consolidated litigation, or joint or consolidated arbitration. Furthermore, you agree that you will not be a member of any putative or actual class in a class action brought against Itopmed by any other person, nor will you seek to be a class representative. You further agree that any relief you seek in any action you bring against Itopmed will be limited to relief available to you personally.

The provisions in the preceding paragraph of Section 2.2 are collectively referred to as the "Class Action Waiver" and are incorporated herein by reference as the "Class Action Waiver."

Except as otherwise provided in the Terms of Use and to the maximum extent permitted by law, you and Itopmed acknowledge and agree that you are each waiving your right to a jury trial.

To the maximum extent permitted by applicable law, you agree that any cause of action arising out of or related to a Dispute must be commenced within one year after such cause of action accrues. Otherwise, such cause of action will be forever barred. For purposes of these Terms, a Dispute shall be deemed commenced when the Dispute Statement (defined above) in Section 2.1 is sent. If a Dispute is filed in court without providing such prior notice (which would be a violation of these Terms and Conditions, as provided herein), the Dispute shall be deemed commenced upon filing.

If any provision of this Dispute Resolution Section is held unenforceable for any reason, the remainder of this Dispute Resolution Section shall survive to the fullest extent permitted by law and in a manner that facilitates the parties' ability to resolve disputes in court in a cost-effective manner. If any other provision of these Terms and Conditions renders any part of this Dispute Resolution Section unenforceable, that provision shall be deemed null and void and of no effect.

This website is owned and operated by Itopmed. Unless otherwise noted, the trademarks, copy, design, and content on this Site, including illustrations, clothing and other product designs, icons, navigation buttons, images, artwork, graphics, the so-called "look and feel," photography, text, audio and video clips or content, and software (collectively, the "Content"), are owned by Itopmed or one or more of its affiliates or licensed to Itopmed. You may not use them in connection with the sale of our products or services, or in any manner that is likely to confuse our customers or that falsely disparages or discredits us, without our prior written authorization. This Site as a whole is protected by copyright, trademark, trade dress, and other applicable intellectual property and other laws. We reserve all worldwide rights. We frequently change the items we offer.
